These terms apply to every shop, business or retailer that lists on the Platform, whether online or offline, and to its owner. By registering a store you confirm that you have authority to bind the business.
1. Registration and verification
1.1You must give true business details: legal and trade name, address, owner’s name, mobile, e-mail, GSTIN (if registered), PAN, bank details and category. We may verify them and may ask for GST certificate, shop licence, FSSAI or other licences, photos or a visit.
1.2A store is listed only after we approve it. We may remove, hide or re-categorise a store at any time.
1.3You must tell us within 7 days of any change in ownership, address, GST status, bank account or closure.
2. Commission and cashback
2.1You agree to pay CCommerce a commission on every qualifying purchase made through the Platform at the rate shown for your store on the Platform or in your approval message (the “Commission Rate”). Unless the agreed rate says otherwise, the Commission Rate is calculated on the bill value excluding GST.
2.2Out of the commission, the shopper’s share is credited to the shopper as cashback and the rest is the Company’s share. The Platform records both figures for each purchase.
2.3You must not charge higher prices, refuse discounts, add surcharges, or treat Platform customers worse than other customers because of the commission.
3. Recording purchases honestly
3.1You must record each Platform customer’s purchase accurately and at the time of sale: right Member ID, right bill amount, bill number. You must not enter fake purchases, inflate amounts, split bills, or enter your own, your family’s or your staff’s purchases to earn cashback or bonuses.
3.2The owner’s own account cannot be credited for purchases at the owner’s own store. A staff member must not credit themselves.
3.3You must keep bills, invoices and records for 8 years and give us copies on request. We may audit entries and mystery-shop.
3.4Entries are accepted as “Pending” and are confirmed only after our checks and the return period.
4. Staff accounts
You may create staff logins. You are fully responsible for what your staff do on the Platform, for training them, and for removing their access when they leave. Staff may only record purchases. Any wrong, fraudulent or unauthorised entry by staff is treated as your entry.
5. Invoices, GST and payment of commission
5.1We will issue a tax invoice to you for commission, normally monthly or at the interval we notify, for the period covered. Unless the invoice says otherwise, GST at the applicable rate (currently 18%) is charged in addition to the commission.
5.2Our invoice shows our GSTIN, SAC code, taxable value, CGST/SGST or IGST as applicable, and total. You may claim input tax credit as the GST law allows. For us to issue a correct invoice you must keep your GSTIN and state details correct.
5.3Payment is due within 14 days of the invoice date. You must pay by bank transfer, UPI or cheque to the account on the invoice and quote the invoice number. Payment must be made in full without set-off or deduction, except TDS if the law requires it, for which you must give us the TDS certificate.
5.4If payment is late we may (a) charge interest at 18% per year from the due date to the date of payment, (b) show a notice to you on the Platform, (c) hide your store, stop crediting new cashback, and suspend your account, and (d) set off the unpaid amount against any money we owe you.
5.5If you dispute an invoice, you must tell us in writing within 7 days of receipt, giving reasons, and pay the undisputed part on time. We will check against the Platform’s records, which are conclusive unless you show clear error.
5.6Shopper cashback that the Platform has credited because of a purchase you recorded remains your liability to us even if you later dispute the purchase, unless it is properly cancelled by us.
6. Returns and cancellations
If a customer returns or cancels a purchase, you must record it on the Platform within 48 hours. We will reverse the cashback and reduce or credit the commission for that purchase on the next invoice. If you fail to record a return, you remain liable to pay the commission.
7. Offers, deals and coupons
You may list deals and coupons that are genuine, lawful, clearly described, not misleading (Consumer Protection Act, 2019; ASCI guidelines) and that you will honour. Fake discounts, bait advertising and prices inflated before a “discount” are prohibited.
8. Your legal duties as a seller
You are solely responsible for the quality, safety, legality, labelling (including Legal Metrology and FSSAI rules), pricing, tax invoices, warranties, returns, refunds and after-sales service of everything you sell, and for all taxes on your sales. You will obey all laws that apply to your business. You must not sell anything that is illegal or restricted.
9. Customer data
Customer data you receive through the Platform (name, Member ID, purchase value) may be used only to record cashback, serve that customer and meet legal duties. You must not sell it, spam customers, or share it. You are a separate data fiduciary for any data you collect at your counter. Part 9 explains how we handle data.
10. Suspension and termination
10.1We may suspend or terminate your store immediately for non-payment, fake or inflated entries, misleading offers, legal violations, customer complaints we find genuine, or breach of these Terms.
10.2Either party may end the relationship on 30 days’ written notice. Termination does not cancel commission on purchases made before the end date, or the duty to record returns, or to pay all invoices.
11. Confidentiality and non-circumvention
Commission rates and non-public Platform information are confidential. During the relationship and for 12 months afterwards you must not use introductions made by the Platform to deal with those shoppers off-Platform specifically to avoid commission.
12. Indemnity and liability
You will compensate us for claims, penalties and costs arising from your goods or services, your offers, your breach, or your tax non-compliance. Our liability is limited as in Part 1, clause 10.
